Terms & Conditions

These terms and conditions are merely a generic example and should be read in this context. Each piece of work will have its own letter of engagement that will contain within it the precise terms and conditions applicable to the assignment.

We will provide advice, from time to time as requested by the company, on employment taxation matters, to include the application of the tax charge under Schedule E, the operation of PAYE, National Insurance Contributions, benefits in kind, CIS and the company’s reporting requirements.

Excluded from the scope:

  • If EICG discover any tax evasion by the Company this contract will be immediately terminated. In this instance if the Company decides to make a full disclosure to HMRC then EICG may be engaged separately to assist with this, which will result in additional fees payable to EICG
  • Any relevant information that is not disclosed to EICG but reflects on the advice given will invalidate this contract
  • EICG will not accept any responsibility for the misuse of any documentation issued

Governing law

This engagement shall be governed by and construed in accordance with English Law and you hereby agree with us to submit for all purposes in connection with this engagement to the exclusive jurisdiction of the English courts.

Responsibility for legal documents

For the avoidance of doubt, although you may wish us to comment on the commercial aspects of legal documents that may be drawn up in connection with the engagement, we will not be involved in their drafting and/or preparation as we believe this is within the realm of the professional business of solicitors/lawyers. Further, whilst every care will be taken in the advice we give in relation to any information contained in such documents such advice and/or comment should not be taken as ’settling’ the documents, which will have been drafted by your solicitors/lawyers. Accordingly, we cannot accept any liability or responsibility for any loss of damage suffered as a result of any defect in such documents arising from their drafting, preparation, completion or the mechanics of putting them into effect.

Ownership of books and papers

All documents belong to EICG Ltd. For the avoidance of doubt we do not assert such ownership rights to documents such as, for example, title documents, original invoices and other original primary accounting records, tax deduction, certificates etc., belonging to you but we may retain possession of them by exercising a lien because our fees remain outstanding after becoming due for payment.

Liability for work undertaken

Neither you nor we exclude or limit liability to the other party for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation. In addition neither party will do so where liability cannot be excluded or limited as a matter of law.

We warrant to you that we will employ reasonable care and skill in the carrying out of the work defined in accordance with the “Scope of Works”. In all cases our liability to you, such as it can be limited by law, will be limited to two and a half times the fees for this engagement.

If any part of this agreement is held to be unenforceable that part shall be severed from the agreement and the remainder shall continue to be valid as if that part was not included.
